第一章 定义 / Chapter 1: Definitions

1.1 车辆寄租 / Vehicle Rental Management: 指甲方将车辆交由乙方进行租赁管理及运营的行为，车辆所有权不发生转移。/ Refers to the act whereby Party A entrusts Party B with the management and operation of the vehicle for rental purposes, without transfer of ownership.

1.2 承租人 / Renter: 指通过乙方租赁车辆并实际使用的第三方用户。/ Refers to a third-party user who rents the vehicle through Party B and uses it.

1.3 租金 / Rental Fee: 指承租人为使用车辆而支付的费用。/ Refers to the fee paid by the renter for using the vehicle.

1.4 保管期 / Custody Period: 指乙方在合同期限内对车辆进行管理和运营的时间。/ Refers to the period during which Party B manages and operates the vehicle under this agreement.

1.5 协议期限 / Agreement Term: 指本协议生效后至终止前的持续时间。/ Refers to the duration from the effective date of this agreement until its termination.

1.6 违约金 / Penalty: 因一方违反合同约定而支付的赔偿金。/ Refers to compensation paid by either party for breaching the agreement.

第二章 协议内容 / Chapter 2: Agreement Terms

2.1 协议目的及期限 / Purpose and Term of the Agreement

2.1.1 寄租范围 / Scope of Rental Management: 甲方同意在本协议期限内将其所拥有的车辆交由乙方保管并用于租赁给第三方承租人使用。本协议仅涉及车辆寄租，不涉及车辆买卖或所有权转移。车辆所有权始终归属甲方，未经甲方书面同意，乙方不得将车辆出售、抵押或以其他任何形式转让。Party A agrees to entrust Party B with the custody and rental of the vehicle to third-party renters during the term of this agreement. This agreement pertains solely to vehicle rental management and does not involve the sale or transfer of ownership. Ownership of the vehicle remains with Party A at all times. Without Party A's written consent, Party B shall not sell, mortgage, or otherwise transfer the vehicle in any form.

2.1.2 协议期限 / Agreement Term: 寄租期限自________年____月____日起，自动为起始时间的90天。本协议会在90天之后在无书面通知的情况下，自动按90天延续。甲方将于协议生效日将车辆交付乙方开始寄租。The rental management term begins on ________ (Year) ________ (Month) ________ (Day) and automatically renews for 90-day periods unless written notice is provided. Party A shall deliver the vehicle to Party B on the effective date of the agreement.

2.1.3 提前终止条款 / Early Termination Clause:

(1) 如车辆连续空置未被出租超过一个月，甲方有权单方面无条件收回车辆终止协议，双方互不承担违约责任。If the vehicle remains unrented for more than one consecutive month, Party A has the right to unilaterally reclaim the vehicle and terminate the agreement without liability.

(2) 除上述情况外，任何一方要求提前终止本协议的，需至少提前30天书面通知对方。Except as stated above, either party seeking early termination must provide at least 30 days' prior written notice to the other party.

(3) 如乙方在30天内且对方无任何过错的情况下强行收回（退回）车辆，需支付甲方前3个月平均收益70%作为赔偿。If Party B forcibly reclaims (returns) the vehicle within 30 days without cause, Party B shall compensate Party A with 70% of the average earnings from the preceding three months.

(4) 如车辆在租赁过程中被一方强行收回（退回），则需按照订单金额、车内财产损失等进行全部赔偿。If either party forcibly reclaims (returns) the vehicle during an active rental, they shall fully compensate for the order amount, property damage, etc.

(5) 合同经双方友好协商一致方可解除。The agreement may only be terminated by mutual written consent.

2.2 甲方的权利和义务 / Rights and Obligations of Party A

2.2.1 车辆权属 / Vehicle Ownership: 甲方保证对寄租车辆拥有合法、完整的所有权或处置权，并保证该车辆没有法律纠纷或权利瑕疵（如抵押、查封、盗抢等）。甲方应提供车辆行驶证、车辆登记证书、车辆号牌等必要证件供乙方查验，并提供车辆保险单据复印件等资料。Party A warrants that it holds legal and complete ownership or disposal rights to the vehicle, free from legal disputes or defects (e.g., mortgages, seizures, theft). Party A shall provide necessary documents (e.g., vehicle registration, license plates, insurance copies) for Party B's verification.

2.2.2 车况维护 / Vehicle Maintenance:

(1) 甲方有义务在车辆交付寄租前确保车辆状态良好、符合道路行驶和租赁运营的要求。Party A shall ensure the vehicle is in good condition and roadworthy before delivery.

(2) 寄租期间，车辆的日常保养、正常磨损维修等事项由甲方负责并承担费用。During the rental period, Party A is responsible for routine maintenance and normal wear-and-tear repairs at its own expense.

(3) 若车辆需要进行年度检验或牌照更新等法定手续，甲方应及时办理，相关费用由甲方承担。Party A shall promptly handle mandatory inspections or license renewals and bear associated costs.

2.3 乙方的权利和义务 / Rights and Obligations of Party B

2.3.1 车辆管理 / Vehicle Management:

(1) 乙方负责对寄租车辆进行保管，并有权在协议约定范围内将车辆用于合法的租赁经营用途。Party B shall custody the vehicle and use it solely for lawful rental operations.

(2) 乙方应合理、合法使用车辆，不得将车辆用于违法活动或本协议约定之外的用途。Party B shall not use the vehicle illegally or beyond this agreement's scope.

第三章 其他条款 / Chapter 3: Additional Terms

3.1.1 租金分配 / Income Split: 乙方从每笔实际收取的租金中提取30%作为服务费，其余70%为甲方收益。Party B retains 30% of each rental as a service fee; Party A receives 70%.

3.1.2 结算周期 / Settlement Cycle: 乙方应在每次租赁订单结束后的3个工作日内完成租金结算支付。Party B shall settle payments within 3 business days post-rental.

3.2.1 保险购买 / Insurance: 甲方须确保在寄租期间车辆始终处于保险有效覆盖之下。Party A must maintain valid insurance coverage during the rental period.

3.2.2 保险责任划分 / Claims: 租赁期间发生保险事故时，由甲方根据保险合同向保险公司申请理赔。乙方应给予必要的协助。Party A handles insurance claims; Party B shall assist as needed.

3.3 行驶里程限制 / Mileage Limits:

3.4 违章及其他费用责任 / Violations and Other Costs

3.4.1 交通罚款处理 / Fines:

租赁期间因车辆产生的交通违法、停车罚单或道路通行费用，原则上应由实际承租人承担。甲方在收到相关罚款或费用通知后21日内，应及时将该通知转交乙方处理。Renters bear fines; Party A must forward notices within 21 days.

3.5 车辆交接及附加条款 / Vehicle Delivery and Miscellaneous:

3.5.1 车辆现状记录 / Condition Report: 甲乙双方在车辆交付时应共同检查车辆状况，双方签署车辆交接单或车况报告作为本协议附件。Both parties shall inspect and document the vehicle's condition at delivery.

3.5.2 随车文件 / Documents: 甲方在交车时应向乙方提供车辆行驶证、车辆登记证、保险卡及甲方驾驶证等复印件或电子件。Party A provides copies of registration, insurance, and driver's license.

附加选项 / Add-ons

2年服务及安装费用 / 2-year service & installation labor

备注：提供商可能每年根据运营需求由乙方调整，但将符合州最低覆盖要求。Note: Provider may be changed annually at Party B's discretion based on operational needs. All changes will comply with state minimum coverage requirements.

物理损坏保险范围 / Physical Damage Coverage:

碰撞与综合险：每次事故最高赔付$50,000 / Collision & Comprehensive: $50,000 maximum coverage per incident

自付额：每次索赔$1,000（适用于碰撞和综合险索赔）/ Deductible: $1,000 per claim (applied to both collision and comprehensive claims)

责任保险范围 / Liability Coverage: 州最低责任限额 / State-minimum liability limits

拒绝的保险范围 / Rejected Coverages:

未投保/不足额投保驾驶人保险 (UM/UIM): 拒绝 / Uninsured/Underinsured Motorist (UM/UIM): REJECTED

个人伤害保护 (PIP): 不适用 / Personal Injury Protection (PIP): NOT APPLICABLE
